Principal Responsibilities

  • Advises the business teams on all aspects of structured finance transactions, with a primary focus on balance sheet and syndicated financings.
  • Identifies and addresses legal, policy, regulatory, commercial and reputational issues/risks.
  • Manages all aspects of external counsel relationships and engagement.
  • Provides subject matter expertise on regulatory and litigation matters relating to structured finance and mortgage matters.
  • Collaborates with internal stakeholders including legal, conflicts, compliance, controller and audit teams to ensure consistency of coverage and adherence to firm policies, procedures and best practices.
  • Aids in the creation and implementation of firm policies, procedures and guidelines.

Qualifications/Skills

  • 6+ years of post-JD, transaction-based legal experience at a reputable law firm, investment bank or other financial institution.
  • Strong substantive knowledge and significant experience in structured finance and capital markets including financing, asset acquisition and securitization transactions, preferably with strong lending experience.
  • Familiarity with CFPB, state and federal regulators, lending, bankruptcy, and with various fixed income and derivative products.
  • Excellent time management/organizational skills with the ability to handle multiple transactions with competing deadlines.
  • Motivation to expand skill set and excel in a fast-paced and rapidly changing business environment with minimum supervision.
  • Excellent communication/presentation skills.
  • Self-starter with strong self-confidence, good judgment, sound decision-making and problem-solving skills.
  • Adept at developing interpersonal relationships.
