Legal Counsel
About the Role
This position is heavily contracts-focused and requires strong attention to detail and excellent drafting and negotiation skills. You will work closely with the General Counsel, appropriate U.S. business units, and senior management as necessary to support the company's business objectives.
Responsibilities
- Negotiate, draft, and review acquisition and divestiture agreements.
- Negotiate, draft, and review a high volume of commercial agreements including sales, waste disposal, rail transport, IT, procurement, services, and real estate agreements.
- Provide legal support as needed to all corporate departments, including finance and accounting, operations, energy, environmental compliance, sales and marketing, and human resources and to the facilities.
- Assess risk in connection with customer, vendor, operations, industry, and/or business issues and advise management on appropriate response/action.
- Manage outside counsel as necessary.
- Assist and manage complex contract negotiations and various corporate transactions.
- Assist in various projects and initiatives, as needed.
- Maintain a positive work environment by acting and communicating in a manner so that you get along with customers, clients, vendors, co-workers, and management.
Requirements
- Bachelor's degree, law degree, and law license in good standing.
- 2-4 years' experience as an attorney in a top-tier law firm or corporate legal department.
- Strong drafting and negotiation experience; detail-oriented with excellent follow-through.
- Motivated, high-energy individual with an enthusiasm for learning and a positive attitude.
- Excellent written and verbal communication skills, including the ability to communicate complex, challenging issues clearly to all levels of the organization.
- Ability and willingness to work independently, take initiative, and manage multiple tasks to provide effective and timely legal advice.
- Commercially oriented attorney with a practical, business-minded approach to problem-solving.
- Ability to use judgment and discretion to analyze facts, draw conclusions independently and efficiently, and a willingness to take ownership of one's legal conclusions.
- Poise and personality to work with, and persuade when necessary, people at all levels of the company, including executives, operational employees, third-party vendors, and outside counsel.
