Legal Counsel
About the role
Epson is seeking a Senior Counsel to join its Legal team. The ideal candidate will manage legal issues related to Epson products and services with moderate to high risk implications and support the company’s transactional requirements through tailored contracts.
Responsibilities
- Strategic Leadership: Partners with senior management to develop legal strategies that align with business goals. Advises on compliance with laws, regulations, and policies. Assesses legal risks and develops plans to mitigate these risks. Participates in and influences decision-making processes with senior management. Collaborates with department lawyers and leads the company's legal thinking.
- Advice and Counsel: Provides legal guidance and advice on compliance issues. Assesses legal risks and opportunities, and advocates for plans to minimize risks. Communicates business risk tolerance to outside counsel to achieve the best outcomes.
- Commercial Contracts and Cross-Functional Business Partnering: Reviews, drafts, and negotiates a wide range of contracts, including supply agreements, distributor agreements, public sector and cooperative RFPs/purchase agreements. Acts as a liaison between internal teams and business units, ensuring thorough, efficient, and prompt addressing of legal and contractual matters. Provides practical, business-oriented legal advice to business clients. Supports product-related legal workstreams, including software licenses, EULAs, open source software considerations, IP positioning, and risk allocation. Applies innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk, and foster long-term client relationships. Responds to complex inquiries regarding contract obligations and revisions, identifies risks and issues, escalates when necessary, and suggests alternative solutions leading to the best business solution. Prepares and disseminates information regarding contract status and modifications. Maintains and develops standardized contract templates in collaboration with legal administrative and other cross-functional teams including sales operations, sales, and product management. Ensures clear and prompt communication with internal stakeholders regarding contracts.
- Collaboration: Works collaboratively with the Legal Affairs team, Finance/Tax team, business teams, and other internal teams. Facilitates cross-team decision-making. Escalates matters for higher-level and/or deeper evaluation as needed.
Requirements
- 6-10 years of experience with Commercial Contracts and Cross-Functional Business Partnering
- Prior in-house experience supporting sales, marketing, and product development for technology products strongly preferred
- Enthusiastic team player with strong communication and project management skills, as well as business judgment and ability to assess risk
- Strong desire to learn and contribute to the success of Epson's business
Qualifications
- Live within commuting distance of Epson’s Los Alamitos HQ - Hybrid role (3 days in-office/week)
- Candidates must have California bar membership or active bar membership in good standing in at least one U.S. jurisdiction

Pay
The starting annual base pay for this role is between USD $166,268 and $207,836. Please note that this position's salary range may include multiple levels. The actual base is dependent upon many factors, such as: training, transferable skills, work experience, business needs, and market demands.
Schedule
This is a hybrid role (3 days in-office/week).
