Legal Counsel

About the role

We are a boutique-sized diversified downstream energy company with a range of assets, including petroleum refining and logistics. Our refineries in Texas, Arkansas, and Louisiana have a combined crude capacity of 302,000 barrels per day. Our logistics business currently owns and operates 720 miles of crude and product pipelines, a 600-mile crude oil gathering system, and storage tanks and terminals.

Responsibilities

• Provides a full range of legal advice and services as an attorney.
• Serves as counsel to a business unit or as a corporate-level subject matter expert in a particular legal discipline (e.g., employment law, intellectual property, or litigation).
• Performs the due diligence for and the negotiation and consummation of corporate mergers and acquisitions.
• Performs the due diligence for and the negotiation and consummation of corporate finance transactions.
• Serves as legal expert in ensuring compliance with the federal and state securities laws and regulations.
• Serves as legal expert in ensuring compliance with industry specific regulatory matters, such as Federal Energy Regulatory Commission filings.
• Serves as legal expert in addressing corporate governance matters, including dealings with the relevant Boards of Directors.

Requirements

• 4 year / Bachelor's Degree (Required)
• Doctorate Degree (Required)
• Six (6) or more years Experience in related field (Required)
• Required Certifications/Licensures: (License to practice law in at least one state)
