We are looking for a detail-oriented Legal Assistant/Paralegal to support a busy legal team in Bethesda, Maryland. This position focuses on corporate matters, commercial agreements, and real estate transactions.
Responsibilities
- Support the creation and qualification of business entities by preparing formation filings, annual submissions, and related records for state and regulatory agencies.
- Draft, organize, and update governance materials such as bylaws, operating agreements, resolutions, meeting records, and other internal corporate documents.
- Maintain entity files, compliance trackers, minute books, and legal databases to help ensure records remain current and deadlines are met.
- Assist attorneys with a range of business transactions, including commercial contracts, financings, restructurings, mergers and acquisitions, leases, and property transfers.
- Prepare and revise legal documents with a high degree of accuracy, including proofreading, incorporating edits, and producing comparison drafts through Microsoft Word tools.
- Coordinate transactional support activities by managing due diligence materials, reviewing title and survey documents, tracking milestone dates, and assembling execution and closing packages.
- Handle routine legal correspondence, calendar management, matter tracking, electronic filing, and general document organization to keep assignments moving efficiently.
- Use legal technology tools, including Microsoft Copilot and CoCounsel, to improve workflow efficiency, document quality, and overall transaction support.
Requirements
- At least 3 years of experience in a paralegal or legal assistant role focused on corporate, transactional, commercial real estate, or related business law matters.
- Demonstrated background supporting entity management, corporate transactions, commercial agreements, or real estate deals.
- Working knowledge of business formations, governance documentation, and ongoing corporate record maintenance.
- Ability to manage multiple deadlines and priorities while maintaining strong accuracy and attention to detail.
- Proficiency in preparing, editing, and comparing legal documents using Microsoft Word and similar office technology.
- Strong written and verbal communication skills for working with attorneys, clients, agencies, and other transaction participants.
- Comfortable working onsite on a permanent basis in Bethesda, Maryland.
