About the Role

This role serves as a key member of Sandisk’s Product & Commercial Legal Services team, negotiating and managing commercial contracts for Sandisk’s Procurement and Logistics organization. The ideal candidate will provide practical, high-quality, solutions-oriented support to global stakeholders, with a primary focus on drafting, reviewing, negotiating, and advising on a broad range of commercial transactions while identifying contractual risks and supporting business objectives in a fast-paced technology environment.

The successful candidate will serve as a trusted business partner to stakeholders, facilitating commercial outcomes through effective contract negotiation, practical risk identification, and sound business judgment. This full-time position reports to the Director, Senior Counsel, Global Commercial Contracts, and is based at Sandisk’s office in Milpitas, California or Irvine, California.

Responsibilities

  • Independently draft, review, negotiate, and manage a wide variety of commercial contracts, including general service agreements, SaaS and software license agreements, professional services agreements, statements of work, amendments, non-disclosure agreements, supply agreements, equipment purchase agreements, and other business/legal documents.
  • Provide practical contract guidance and risk assessments to business stakeholders while balancing contractual risk with business objectives and ensuring compliance with company policies.
  • Support stakeholders with contract interpretation, contractual rights and obligations, dispute avoidance, and risk mitigation strategies, escalating legal issues to commercial contracts attorneys as appropriate.
  • Work closely with commercial contracts attorneys, Procurement, Logistics, IT, Engineering, Finance, HR, Operations, Marketing, and other business functions to support commercial transactions, resolve contractual issues, and facilitate business objectives.
  • Support sourcing, operational, and manufacturing-related arrangements in support of Sandisk's engineering and manufacturing operations.
  • Assist with the development and maintenance of contract templates, playbooks, guidance materials, and contracting processes that improve efficiency and consistency.
  • Support strategic company initiatives and special projects, as needed.

Requirements

  • Bachelor's degree required. JD or other relevant advanced degree preferred.
  • At least 6 years of relevant experience drafting, reviewing, negotiating, and administering commercial agreements in an in-house legal department or similar business environment.
  • Strong understanding of commercial contracting principles, contract negotiation, risk allocation, and contract administration.
  • Ability to independently manage routine and increasingly complex transactions from initiation through execution while exercising sound business judgment.
  • Experience working in or advising technology, manufacturing, semiconductor, or supply chain organizations is preferred.

  • Track record of providing high-quality, timely results on a wide variety of contract matters.
  • Experience with contract lifecycle management (CLM) solutions and contracting workflow tools is a plus.

Pay

The salary range for this role is based on several factors including relevant education, qualifications, certifications, experience, skills, geographic location, shift, internal and external equity, and business needs. The range provided is applicable for jobs performed in California, Colorado, New York, or remote jobs that can be performed in these states. The range may be modified in the future.

Eligibility to participate in Sandisk's Short-Term Incentive (STI) Plan, which provides incentive awards based on Company and individual performance.

Eligibility to participate in the annual Long-Term Incentive (LTI) program, which consists of restricted stock units (RSUs) or cash equivalents, depending on role and performance. Not all roles are eligible for equity under the LTI plan.

RSU awards are also available to eligible new hires, subject to Sandisk's Standard Terms and Conditions for Restricted Stock Unit Awards.
