Key Responsibilities
- Lead all aspects of private fund formation and fundraising transactions.
- Structure, draft, and negotiate fund documentation, including limited partnership agreements, subscription agreements, side letters, and related ancillary documents.
- Serve as trusted advisor and primary relationship partner for fund sponsor clients throughout the lifecycle of their funds.
- Counsel clients on regulatory and compliance matters involving securities laws, the Investment Advisers Act, Investment Company Act, ERISA, and related regulations.
- Collaborate closely with other partners and attorneys across the practice to ensure seamless client service and strategic growth.
- Mentor and develop associates and legal staff within the group.
- Participate actively in business development, industry networking, and client expansion initiatives.
Qualifications
- JD required.
- Significant experience practicing investment funds law within a law firm environment.
- Demonstrated experience leading sophisticated fund formation and fundraising matters independently.
- Strong understanding of private investment fund structures and applicable regulatory frameworks.
- Excellent drafting, negotiation, and client management skills.
- Entrepreneurial mindset with a collaborative and team-oriented approach to practice development.
- Proven ability to build and maintain strong client relationships.
