Investment Fund Attorney
About the role
The PositionAt Michael Best, we are looking to add a Senior Investment Funds Attorney with 7+ years of experience to our nationally top-ranked Corporate, Venture Capital and Emerging Growth team, “Venture Best”.
Responsibilities
- Structuring, negotiating, forming, and cooperating private investment funds and related management companies.
- Forming, organizing, and operating of venture capital funds, incubators and their general partner and related management company entities.
- Advising funds in all stages of their operations, including preparation of offering materials, negotiation with investors, drafting of governance agreements, counseling related to financing activities and all aspects of day-to-day operations.
- Advising clients on compliance matters related to securities law and other regulations applicable to venture capital funds.
- Representing sponsors across a wide range of strategies and structures, including buyout funds, distressed investment funds, debt funds, open end funds, co-investment vehicles and other private investment vehicles.
- Counseling private fund sponsors, family offices, and other investment managers in connection with fund formation, strategic transactions, deployment of capital, and implementation of traditional or unique investment strategies.
Requirements
- Knowledge Base & Education: J.D. from an ABA-accredited law school
- 7+ years of corporate or transactional experience, specifically in investment funds
- Strong drafting and organizational skills
- Strong ability to manage clients and opposing counsel
- Excellent academic credentials
- Strong verbal, written, and interpersonal skills

Pay
- Annual compensation range: $170,000 - $245,000

This position is considered full-time and is therefore eligible to participate in employer-sponsored benefits, including medical, dental, vision, as well as elective or voluntary life, disability, accident coverage, paid holidays, paid time off, and eligible reimbursements.
