About the role
We are seeking an experienced and business-oriented Investment Attorney to provide legal counsel and strategic support across a broad range of investment activities. This attorney will partner closely with investment professionals, senior management, compliance, and external counsel to structure, negotiate, and execute investment transactions while managing legal, regulatory, and governance risks. The ideal candidate will have significant experience advising on private equity, private credit, venture capital, mergers and acquisitions, asset management, and other complex investment transactions. This role offers direct exposure to investment decision-making and senior leadership in a dynamic, fast-paced environment.
Responsibilities
- Provide legal support for private equity, private credit, venture capital, M&A, and other investment transactions.
- Draft, review, and negotiate investment, acquisition, financing, fund, and governance-related agreements.
- Advise investment professionals on transaction structuring, due diligence, execution, and ongoing portfolio company matters.
- Support fund investments, capital deployment, co-investments, and strategic transactions.
- Counsel on securities laws, regulatory compliance, corporate governance, and risk management issues.
- Partner with internal stakeholders and outside counsel to identify legal risks and develop practical business solutions.
- Assist with investment committee materials, transaction approvals, and corporate governance documentation.
- Monitor legal and regulatory developments impacting investment activities and advise on best practices.
Qualifications
- JD from an accredited law school.
- Active membership in good standing with a state bar.
- 5+ years of legal experience with a leading law firm, asset manager, private equity sponsor, investment firm, insurance company, or financial institution.
- Significant experience handling sophisticated investment transactions.
- Familiarity with fund formation, private funds, securities regulations, and corporate governance matters preferred.
