Investment Counsel

Key Responsibilities

• Provide legal support for private equity, private credit, venture capital, M&A, and other investment transactions.
• Draft, review, and negotiate investment, acquisition, financing, fund, and governance-related agreements.
• Advis[e] investment professionals on transaction structuring, due diligence, execution, and ongoing portfolio company matters.
• Support fund investments, capital deployment, co-investments, and strategic transactions.
• Counsel on securities laws, regulatory compliance, corporate governance, and risk management issues.
• Partner with internal stakeholders and outside counsel to identify legal risks and develop practical business solutions.
• Assist with investment committee materials, transaction approvals, and corporate governance documentation.
• Monitor legal and regulatory developments impacting investment activities and advise on best practices.

Qualifications

• JD from an accredited law school
• Active membership in good standing with a state bar
• 5+ years of legal experience with a leading law firm, asset manager, private equity sponsor, investment firm, insurance company, or financial institution
• Significant experience handling sophisticated investment transactions
• Familiarity with fund formation, private funds, securities regulations, and corporate governance matters preferred
