Investment Banking Attorney

Key Responsibilities

• Negotiate client agreements and provide legal guidance on deal structures.
• Advising on complex regulatory issues and drafting transaction documents in collaboration with external counsel.
• Serving as a trusted advisor to key internal committees and stakeholders.
• Working closely with regulatory counsel to ensure compliance with SEC and FINRA requirements.

Key Requirements

• Extensive experience supporting complex capital markets transactions within a leading law firm or financial institution.
• Strong knowledge of U.S. securities laws and regulatory frameworks, including SEC and FINRA requirements.
• Excellent interpersonal skills, combining technical expertise with reliability, responsiveness, and a collaborative approach.
• Highest level of organizational skills, attention to detail, and ability to manage multiple priorities in a fast-paced environment.
• Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the New York State Bar.
• 3-5 years of experience advising on capital markets transactions or investment banking matters within a law firm or financial institution.
• Strong knowledge of SEC and FINRA regulations with the ability to navigate complex compliance requirements.
• Outstanding analytical, critical-thinking, and problem-solving skills, with a high level of attention to detail and accuracy.
• Strong written and verbal communication skills, coupled with strong computer proficiency and the ability to manage multiple priorities effectively.
