Position Summary

The Head of Investor Relations will develop and execute the company's Investor Relations strategy, serve as the primary liaison with the investment community, and support capital markets transactions.

Key Responsibilities

  • Develop and execute the company's overall Investor Relations strategy.

  • Create and continuously refine the company's equity story, investment thesis, messaging, and long-term market positioning.

  • Translate complex business initiatives involving blockchain infrastructure and AI computing into compelling investment narratives.

  • Identify key performance metrics that effectively communicate company performance and future growth.

  • Own all Investor Relations materials, including:

    • Investor presentations

    • Corporate fact sheets

    • FAQ documents

    • Investor website content

    • Conference presentations

    • Transaction-specific presentations

  • Partner with executive leadership and marketing to ensure consistent branding and messaging.

  • Lead quarterly earnings preparation from planning through execution.

  • Draft earnings press releases, executive scripts, investor presentations, and Q&A materials.

  • Care for earnings webcast logistics and external vendors.

  • Prepare executive leadership for earnings calls and investor discussions.

  • Analyze analyst feedback and investor sentiment following earnings announcements.

  • Build and maintain relationships with sell-side analysts, institutional investors, portfolio managers, and investment banks.

  • Coordinate investor meetings, non-deal roadshows, and conference participation.

  • Manage analyst models, consensus estimates, and investor engagement activities.

  • Expand analyst coverage and increase institutional ownership.

  • Monitor institutional ownership trends, shareholder activity, market sentiment, and retail investor engagement.

  • Provide regular market intelligence updates to executive leadership and the Board.

  • Maintain investor CRM systems and shareholder tracking programs.

  • Support public financing activities, including:

    • ATM offerings

    • Pipe transactions

    • Public offerings

    • Other capital markets initiatives

  • Develop investor communication materials supporting financing transactions.

  • Prepare executive leadership for investor meetings and capital raises.

  • Partner with Finance, Legal, and executive leadership to ensure compliance with:

    • Regulation FD

    • SEC disclosure requirements

    • 8-K filings

    • Earnings guidance practices

  • Review external communications for regulatory compliance and disclosure accuracy.

  • Build and scale the Investor Relations function as the organization grows.

  • Develop best practices, processes, and reporting frameworks.

  • Support future portfolio companies and expanding investor audiences as new business initiatives are launched.

Required Qualifications

  • 5+ years of experience in Investor Relations, Equity Research, Investment Banking, or Buy-Side Investing

  • 3+ years supporting or working within a public company Investor Relations function

  • Strong understanding of:

    • Public company reporting

    • SEC regulations

    • Regulation FD

    • Corporate disclosure requirements

  • Experience managing:

    • Quarterly earnings

    • Investor presentations

    • Analyst communications

    • Institutional investor relationships

  • Excellent written and verbal communication skills with experience preparing executive-level communications

  • Strong financial analysis, financial modeling, and accounting knowledge

  • Ability to analyze financial statements, SEC filings, and market trends

  • Proven ability to communicate effectively with executive leadership, Board members, investors, analysts, and external stakeholders

  • Ability to thrive in a fast-paced, high-growth public company environment

Preferred Qualifications

  • MBA strongly preferred

  • Experience supporting newly public companies, reverse mergers, RTOs, or de-SPAC transactions

  • Experience within:

    • Blockchain infrastructure

    • Digital assets

    • Cryptocurrency

    • BTC mining

    • AI infrastructure

    • Data centers

    • High-performance computing

  • Existing relationships with:

    • Institutional investors

    • Portfolio managers

    • Sell-side analysts

    • Investment banks
