General Counsel

About the role

Atlantic Coast Mortgage, LLC (“ACM”) seeks an experienced lawyer to serve as General Counsel. This full-time position will report directly to the company’s executive management team. The role requires good judgment, a strong work ethic, excellent communication skills, and superb contract review and drafting skills. The optimal candidate will be extremely organized and goal oriented.

Responsibilities

• Responsible for all legal matters, including corporate governance, M&A, warehouse credit facilities, loan purchase agreements, employee and HR issues, post-closing and secondary issues, borrower complaints, office leases, vendor agreements and vendor management, legal compliance (state and federal mortgage law), IP management, pre-litigation/ADR and litigation management, mortgage licensing, legal matters related to mortgage servicing, and creation and administration of legal budget
• Review, negotiate, and draft contracts
• Oversee day-to-day legal matters
• Hire and manage legal personnel
• Provide clear, cogent legal guidance to management
• Conduct legal research and draft guidance memos
• Review and revise internal policies and procedures
• Collaborate with and manage outside counsel

Requirements

• J.D. degree and membership in at least one state bar
• 8+ years of transactional law experience from a law firm or in-house
• Prior employment as general counsel, associate corporate counsel, or the like at a residential mortgage lender AND/OR substantial and long-term representation of residential mortgage lenders while in private practice
• Familiarity with state and federal mortgage law compliance
• Experience negotiating and drafting loan purchase agreements, warehouse credit facilities, and corporate documents
• Deep understanding of the residential mortgage industry
• Proven ability and desire to take ownership of projects and to complete them in a timely manner

A major plus, but not a prerequisite: litigation and M&A experience and a working relationship with high-quality outside counsel at a range of price points. ACM will consider candidates without mortgage industry experience who are otherwise highly qualified.

Pay

Compensation within this range is determined by a combination of factors, including experience, skill, and organizational needs. The salary range for this position is $200,000 - $300,000 annually.
