About the role
As the company's first in-house attorney, you'll report directly to the Founder/CEO and build the legal function from the ground up. This role offers broad ownership, direct access to the CEO, and the chance to create practical legal processes that support a fast-growing, founder-led B2B technology and services company helping businesses optimize complex shipping costs.
Responsibilities
- Serve as the company's first in-house attorney and primary legal advisor to the Founder/CEO
- Take the lead on commercial collections and payment disputes, including demand strategy, direct negotiations, settlements, and escalation decisions
- Develop a consistent, business-minded approach for resolving customer disputes before they become litigation
- Direct and manage outside counsel when matters require formal litigation or specialized expertise
- Own customer agreements from drafting and negotiation through execution and enforcement
- Strengthen contract language around pricing methodologies, payment obligations, remedies, and dispute procedures
- Negotiate agreements directly with customers, including enterprise legal and procurement teams
- Develop scalable contract infrastructure, including templates, negotiation playbooks, approval thresholds, and standardized processes
- Advise leadership on employment matters, including offer letters, incentive and commission plans, restrictive covenants, performance issues, terminations, and company policies
- Provide practical guidance on Florida and multi-state employment matters as the organization grows
- Review and negotiate vendor, partner, and other business agreements
- Advise the CEO on legal and commercial risk involving operations, customer relationships, data practices, marketing claims, and corporate matters
- Manage the company's outside counsel relationships and legal budget with the goal of materially reducing external legal spend
- Build the policies, processes, documentation, and legal infrastructure needed to support the company's next stage of growth
Requirements
- JD from an accredited law school
- Active Florida Bar membership
- 5-10 years of relevant legal experience
- Meaningful experience resolving commercial payment, collections, or contract disputes
- Strong commercial contract drafting, review, and negotiation experience
- Ability to independently negotiate with sophisticated customers and opposing counsel
- Working knowledge of Florida employment law and the judgment to identify when specialized outside counsel is appropriate
- Strong business judgment with the ability to translate legal risk into clear, practical recommendations
- Ability to balance enforcement and risk management with the commercial realities of maintaining valuable customer relationships
- Comfortable operating as the first and initially sole in-house attorney without an established legal department
- Ability to work closely with a founder and executive leadership in a fast-moving entrepreneurial environment
- Located in or able to work from the Miami, FL area
Nice-to-Haves
- Commercial litigation background combined with meaningful transactional experience
- Previous in-house experience in a B2B services or technology environment
- Experience building or professionalizing an in-house legal function
- Logistics, freight, transportation, 3PL, supply chain, or shipping industry experience
- Experience with success-fee, contingency-fee, revenue-share, or other performance-based commercial arrangements
- Experience handling commission or incentive compensation matters
- Multi-state employment experience
- Experience managing outside counsel and reducing external legal spend
Benefits
- Base salary of $200,000-$280,000, depending on experience
- Performance-based annual bonus opportunity of 10%-20% of base salary
- Potential annual cash compensation of approximately $220,000-$336,000
