Funds Associate Attorney (Multi-Office)

About the Role

Sheppard, Mullin, Richter & Hampton LLP, an Am Law 50 firm, is seeking a mid-level associate to join its Investment Management team. This position will focus primarily on private fund formation, with an emphasis on private equity, private credit, real estate and other real assets, entertainment, and venture capital funds. The role is open to candidates in any location where the firm has an office, with preferential consideration given to Dallas.

Responsibilities

• Advise private fund sponsors on the formation and offering of various types of U.S. and international pooled investment vehicles and bespoke fund-of-one arrangements.
• Advise on new laws and regulations applicable to private funds and their managers.
• Represent institutional investors in allocating capital to private fund investments, including primary, secondary, and co-invest transactions.
• Work closely with investment advisory firms on operational matters, including internal governance, investment adviser compliance, carried interest and co-investment arrangements, spinouts, GP stakes, secondaries, reorganizations, fund restructurings, and portfolio acquisitions and dispositions.
• Collaborate with Sheppard industry teams advising on client portfolio assets, including private equity, real estate finance, EB-5 project finance, consumer finance, and fintech.

Qualifications

• At least 4 years of experience in private fund formation.
• Experience drafting and reviewing fund-related documentation, including private placement memoranda, subscription documents, and LLC and partnership agreements.
• Experience representing institutional investors in negotiating private fund investments.
• Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.
• Outstanding academic credentials and experience working at an AmLaw 100 firm.
• Excellent written and verbal communication skills.

Pay

The annual salary range for this position is $310,000 to $390,000.
