The Role
- Representing sponsors and investors in the formation, structuring, and operation of private investment funds.
- Advising on fund formation transactions across a variety of investment strategies and fund structures.
- Supporting sponsor-level transactions involving general partner and management company entities.
- Assisting with secondary transactions involving limited partner interests and portfolio company interests.
- Drafting, reviewing, and negotiating sophisticated fund documentation and transaction agreements.
- Working directly with clients on strategic, regulatory, and commercial issues arising throughout the lifecycle of private investment funds.
- Collaborating with colleagues across corporate and related practice areas to deliver practical, commercially focused advice.
- Managing multiple complex matters while maintaining exceptional attention to detail and responsiveness.
The Candidate
- 2–7 years of private investment fund formation experience gained within a sophisticated legal practice.
- Much experience representing both sponsors and investors in private investment funds.
- Significant experience handling fund formation transactions, sponsor-level transactions, and secondary transactions involving limited partner and/or portfolio company interests.
- A Juris Doctor (JD) from an accredited law school.
- Previous experience working in a law firm is essential.
- A strong academic record and exceptional analytical, drafting, and communication skills.
- The ability to manage complex transactions, exercise sound judgment, and thrive in a fast-paced, client-focused environment.
- A collaborative approach and the desire to build long-term trusted relationships with clients and colleagues.
