Fund Attorney - Assistant Vice President / Vice President

Responsibilities

• Negotiate various agreements with counterparties including fund managers and distribution agents.
• Draft and review private fund offering materials, partnership agreements, and other private fund legal documentation.
• Advises on the legal implications of offering new and existing products and services.
• Collaborate with outside legal counsel on a variety of issues including regulatory, corporate, and fund investment work.
• Draft and review various contracts, non-disclosure agreements, and other legal documentation.
• Aid in regulatory filings and conduct research projects as needed.

Qualifications

• At least 4 years of fund formation experience within the Investment Management industry.
• Thorough understanding of the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and FINRA regulations.
• Member in good standing of the Utah Bar, another state or jurisdiction.
• Law firm or in-house experience at an asset management firm is preferred.
• Strong interpersonal and leadership skills.
• Willingness to learn new topics and adapt to an evolving business environment.
• Highly organized and detail-oriented with the ability to think strategically.

Pay

The base salary range for this role is $160,000 to $220,000. iCapital offers a comprehensive compensation package which includes salary, equity for all full-time employees, and an annual performance bonus. Schedule

Employees in this role will work in the office from Monday to Thursday, with the flexibility to work remotely on Fridays.
