Fund Attorney - Assistant Vice President

Responsibilities
- Negotiate various agreements with counterparties including fund managers and distribution agents.
- Draft and review private fund offering materials, partnership agreements, and other private fund legal documentation.
- Advises on the legal implications of offering new and existing products and services.
- Collaborate with outside legal counsel on a variety of issues including regulatory, corporate, and fund investment work.
- Draft and review various contracts, non-disclosure agreements, and other legal documentation.
- Aid in regulatory filings and perform research projects as needed.
Qualifications
- At least 3 years of fund formation experience within the Investment Management industry.
- Strong understanding of the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and FINRA regulations.
- Member in good standing of the Utah Bar, another state or jurisdiction.
- Law firm or in-house experience at an asset management firm is preferred.
- Excellent interpersonal and leadership skills.
- Willingness to learn new topics and adapt to an evolving business environment.
- Highly organized and detail-oriented with the ability to think strategically.
Pay
The base salary range for this role is $160,000 to $210,000. iCapital offers a competitive compensation package which includes salary, equity for all full-time employees, and an annual performance bonus. Schedule
Employees in this role will work in the office Monday through Thursday, with the flexibility to work remotely on Fridays.
