Client DetailsInvestment bank.DescriptionProvide legal support to business units with respect to equity sales and trading platform, focusing on syndicated margin lending, equity repo, securities lending, delta-one swaps, etc.Support LP fund financing, full-recourse margin lending, equity repo, securities lending and delta-one equity swapsProvide legal guidance on margin lending regulations, FINRA, Reg T, and Reg U complianceProvide guidance on Dodd-Frank and rules applicable to Security-Based Swaps and Security-Based Swap DealersDraft and negotiate credit agreements, loan agreements and related fund financing and margin lending documentationDraft and negotiate securities financing documentation, including MRAs and MSLAs and equity swap MCAs; maintain and enhance standard documentation templatesPartner closely with Credit, Market Risk, Collateral Management, Operations, and other internal stakeholders to address legal, operational and risk mattersProfileJD from US law school Admission to NY State Bar8-10+ years practicing law, ideally a combination of top AmLaw 100 firm and in-house within a financial services institution, providing support to equity finance businessExperience advising business units on syndicated margin lendingMust have strong margin lending, equity repo and delta-one experience Strong experience with and understanding of securities regulations, including Dodd-Frank, Reg T, Reg UAbility to serve as a trusted business partner to internal clients Job OfferCompetitive base salaryBonus Hybrid work schedule with 3 days in NYC office per weekComprehensive benefits plan Opportunity for growth Desired Skills and Experience JD, NY BAR, 10+ years combined in big law and in-house practicing within financial services/banking, experience with syndicated margin lending, prime brokerage, top academic credentials
