Key Responsibilities

  • Advises clients on executive compensation matters in M&A transactions and public company contexts
  • Supports equity compensation and incentive plan structuring
  • Provides guidance on regulatory and tax aspects of compensation arrangements
  • Drafts and reviews compensation-related agreements and disclosures
  • Counsels clients on ongoing compliance and governance matters
  • Collaborates with corporate teams on transactional matters

Who You Are

  • 4–6 years of executive compensation experience
  • Strong knowledge of relevant tax provisions, including Sections 409A, 280G, 83 and 421–424
  • Experience advising on compensation in M&A and capital markets transactions
  • Strong academic credentials
  • Excellent drafting, analytical and communication skills
  • Experience at a leading law firm preferred
  • Admitted to practice in the relevant jurisdiction

Compensation

Salary Range: $310,000 – $390,000 (DOE)
