Key Responsibilities
- Advises clients on executive compensation matters in M&A transactions and public company contexts
- Supports equity compensation and incentive plan structuring
- Provides guidance on regulatory and tax aspects of compensation arrangements
- Drafts and reviews compensation-related agreements and disclosures
- Counsels clients on ongoing compliance and governance matters
- Collaborates with corporate teams on transactional matters
Who You Are
- 4–6 years of executive compensation experience
- Strong knowledge of relevant tax provisions, including Sections 409A, 280G, 83 and 421–424
- Experience advising on compensation in M&A and capital markets transactions
- Strong academic credentials
- Excellent drafting, analytical and communication skills
- Experience at a leading law firm preferred
- Admitted to practice in the relevant jurisdiction
Compensation
Salary Range: $310,000 – $390,000 (DOE)
