Entrepreneurial Ventures Associate

About the role

Katten seeks an Associate to join its Entrepreneurial Ventures practice. Current members are located in Chicago, Dallas, Los Angeles, and New York City.

Responsibilities

• Drafting customary investment agreements, including those based on NVCA forms
• Managing multi-disciplinary due diligence across various sectors such as life science, clean technology, SaaS, AI, and technology hardware/software companies, including in regulated industries
• Preparing governance-related board materials, including with respect to related transactions
• Cap table management, including with respect to convertible securities

Requirements

• 3-5 years of sophisticated corporate experience at a nationally recognized law firm with a focus on venture capital and emerging company representation
• Strong academic credentials
• Excellent writing and analytical skills

Qualifications

• Specific experience should ideally include drafting investment agreements, conducting due diligence, preparing board materials, and managing cap tables

Skills

• Strong legal research and writing skills
• Ability to work effectively in a team environment
• Experience with complex financial instruments and regulatory compliance
