Emerging Companies and Venture Capital Associate

About the role

Holland & Knight is seeking a midlevel corporate associate with emerging companies and venture capital experience.

Responsibilities

• Advise emerging companies and venture capital investors on a wide range of corporate and transactional matters, from formation to exit.
• Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA (and related) financing documents.
• Provide legal guidance on corporate governance matters, including board and shareholder issues.
• Support clients in mergers and acquisitions, joint ventures, and other strategic transactions.
• Conduct due diligence and assist in transactional closings.
• Act as outside corporate counsel to early-stage and late-stage private companies.
• Manage internal and external client and counsel relationships.

Requirements

• 3 to 5 years of relevant experience.
• JD from an ABA-accredited law school.
• Must be licensed or ready to become licensed in the jurisdiction of the hiring office.
• Must reside in the designated jurisdiction at or prior to the time of hire.
• Relevant transferable skills and a strong academic background.
• Excellent research and writing skills.

Schedule

This role requires working in the office at least three business days per week.

Pay

The pay range for this position in Colorado, California, District of Columbia, Illinois, Massachusetts, New York, Virginia, and Washington is $260,000 – $365,000 per year. An individual's actual compensation will depend on qualifications and experience.
