Documentation Negotiator OGC
About the role
The Documentation Negotiator role is within the Office of General Counsel at Brown Brothers Harriman. This position supports the firm's Foreign Exchange ("FX") business by coordinating and negotiating documentation requests, primarily ISDA Master Agreements, credit support annexes, confirmations, and other documents.
Responsibilities
- Coordinate documentation requests and prepare initial drafts of documentation.
- Review and negotiate documentation within established parameters.
- Manage documentation flow, track revisions, consolidate comments, and create marked copies of documents identifying non-standard provisions.
- Identify and escalate non-standard provisions to supporting attorneys.
- Carefully coordinate signature pages, signing authority/corporate secretary certificates, and file/organize final executed versions of documents.
- Assist in improving and managing existing template documentation and creating new templates and negotiation guides for form documents.
- Support the documentation unit by participating in operational enhancements and internal working groups.
- Participate in firm-wide and departmental initiatives, including staying informed about regulatory developments and alerting relevant stakeholders.
- Communicate with business, risk, compliance, and the supervising attorney to manage high-volume workflow.
Requirements
BA/BS required. JD is a plus. Minimum three years' experience as an ISDA Master Agreement contract negotiator, documentation specialist, or paralegal. Excellent oral and written skills, excellent organizational and research skills, and the ability to work independently as well as a part of a team. Attention to detail, good judgment, strong personal initiative, and problem-solving and decision-making skills. Organizational and time management skills, efficient in a fast-paced yet very collegial environment. Experience handling multiple tasks and projects concurrently while maintaining highest standards and attention to detail. Experience actively managing and meeting client expectations. Strong computer skills. Corporate knowledge.

Pay
Salary Range: NY: $80,000 - $110,000 base salary + annual bonus target. Base salaries may vary based on factors such as skill, experience, and qualification for the role.
Schedule
The role is based in the New York City location and is hybrid, with 3 days per week in-office.
