Director, Transaction Advisory Services (TAS) and Financial Due Diligence (FDD)
About the role
At Embarc, the Financial Due Diligence / Quality of Earnings is integrated into the M&A Advisory process and deal negotiations. This role offers a unique opportunity to utilize and expand your expertise in Financial Due Diligence while playing a pivotal role in M&A execution and Strategic Finance for growth-focused companies.
Responsibilities

Leads the end-to-end project management, work plan development, process, and project execution.

Manages client team to deliver project goals in a timely and resource efficient manner.

Effectively communicate across all stakeholders.

Drive optimal outcomes for all stakeholders, while meeting and/or exceeding client expectations.

Independently manages due diligence, quality of earnings, and other transaction advisory related services to support Embarc clients that are looking at growing through acquisitions or preparing for sale.

Develops and prepares audience-appropriate materials, including quality of earnings databooks and financial due diligence reports etc.

Analyzes financial/operational results of targets through reviewing accounting records and conducting interviews with management.

Cultivates and maintains strong relationships with client leadership and key staff.

Identify opportunities where Embarc's financial and strategic services (e.g., capital raising, M&A, and strategic finance) may accelerate the client's strategic plan and align with their key business objectives.

Acts as a thought leader and trusted advisor to client's key leadership.

Spearheads complex strategic analysis, quantitative analysis, and robust financial modeling to produce meaningful insights that address clients' challenges and needs.

Translates complex strategic and financial analysis into insightful reports, key take-aways, and presentations for clients and key stakeholders which facilitate robust discussions, provide quantification and articulation of financial and strategic impact, and support the decision-making process.

Evaluates effects of seasonality and cyclicality on cash flow requirements.

Performs industry and company research to keep Embarc and its’ clients informed of any market insights.

Creates and designs tailored transaction advisory reports specific to key issues such as normalized earnings, financial reporting, working capital trends, and indebtedness considerations.

Leads the cross-functional management of projects from end to end; communicates recommendations and drives outcomes with various stakeholders.
Qualifications

Experienced with best-in-class TAS/FDD practices.

Track record of successfully leading TAS/FDD teams including recruiting, training, project management.

Exceptional analytical skills, including advanced financial modeling and financial / accounting analysis, etc.

Ability to interpret the results of qualitative and quantitative analysis and develop insights and recommendations.

Ability to lead multiple engagements simultaneously, using well developed project management skills.

Mature presence, empathy, intellectual curiosity, and ability to learn quickly.

Demonstrated strengths with financial accounting, capital markets, and M&A concepts.

Demonstrated success with cultivating strong relationships with clients, executives and boards.

Ability to develop and maintain strong working relationships with both internal and external cross-functional teams, collaborating effectively to successfully drive TAS/FDD processes.

Proven success with independently developing presentations and other communication materials executive leadership, external partners, and the Board of Advisors.

Experience working with start-up organizations a plus.
