Director, Mergers and Acquisitions
About the Role
We're looking for an experienced Director of M&A to lead the sourcing, evaluation, structuring, and execution of renewable energy, battery storage, and/or thermal energy acquisitions across the U.S. You'll work closely with Development, Finance, and Legal to underwrite deals, build and review financial models, and drive transactions from origination, initial diligence through to closing. This is a high-visibility, hybrid role based out of our Fort Lauderdale office, on a lean, fast-moving team.
Responsibilities
- Lead and/or assist the origination and negotiation of M&A opportunities.
- Lead the build and review of detailed financial models for solar and BESS acquisitions, including project-level and portfolio-level returns.
- Own due diligence workstreams on acquisition targets — reviewing interconnection agreements, PPAs/offtake structures, EPC contracts, permits, land rights, and title, and flagging risks to leadership.
- Evaluate and help structure special-situation and off-market opportunities, including assets sourced through Chapter 11 and other court-supervised processes.
- Prepare and present investment memos, valuation summaries, and board-level materials to support go/no-go decisions.
- Structure and analyze capital stacks involving tax equity, ITC transferability, project debt, and back-leverage facilities.
- Track and benchmark market comparables (recent transactions, pricing, market multiples) across ERCOT, NYISO, ISO-NE, SERC, and additional US markets.
- Directly support negotiations by modeling deal scenarios, sensitivities, and purchase price adjustments, and by liaising with counterparties on deal terms.
- Coordinate with internal Development, Finance, Accounting, Legal, and Asset Management teams, as well as external counsel, lenders, tax equity investors, and advisors, throughout the transaction lifecycle.
- Maintain and prioritize a pipeline of acquisition opportunities, counterparties, and deal status.
Requirements
- 5-10 years of experience in renewable energy M&A from investment banking, private equity, infrastructure investing, IPPs, developers, or consulting.
- Advanced financial modeling skills (good command of Excel; deep experience building and stress-testing project finance models from scratch).
- Solid working knowledge of renewable energy transaction structures — PPAs, interconnection, tax equity, ITC/PTC, and project-level debt.
- Track record of owning diligence workstreams independently and synthesizing complex materials (contracts, permits, engineering reports) into clear, decision-ready recommendations.
- Direct experience in deal negotiations and interfacing with counterparties, lenders, and advisors.
- Comfort operating with ambiguity and competing deadlines in a fast-paced, entrepreneurial environment.
- Excellent written and verbal communication skills, with experience preparing and presenting investment committee or board-level materials.
- Bachelor's degree in Finance, Economics, Business Admin, or a related field (Law degree - advantage).
- High attention to detail and strong organizational skills; ability to manage multiple live deals simultaneously and prioritize under pressure.
Benefits
- Medical, dental, and vision insurance.
- Short-term disability and life insurance.
- 401(k) with a generous 6% company match.
About the Team
A Lean Team Where Your Work Actually Matters: We operate with a lean, highly capable team, which means there aren’t layers of people between you and the work that matters. You’ll have real ownership, direct access to decision-makers, and the opportunity to influence how we build and grow the business.
A Fast Pace and a High Bar: We move quickly, the workload can be demanding, and our expectations are high. This is an environment for people who enjoy being challenged, solving problems, taking initiative, and figuring things out as we grow. In return, you’ll gain exposure, responsibility, and influence that can take years to earn in a more traditional organization.
Who Thrives Here: The people who do best at Blue Sky are proactive, resourceful, and comfortable taking ownership. They don’t wait to be told what to do next, and they’re willing to step outside the boundaries of a job description when the business needs it. They care about outcomes more than watching the clock, bring solutions instead of simply identifying problems, and genuinely enjoy the energy — and occasional ambiguity — that comes with building a growing company.
Hybrid, With Purpose: We believe there is real value in being together. Our hybrid model creates regular opportunities for in-person collaboration, faster decision-making, and stronger relationships while still providing flexibility outside of the office.
