Director, Corporate Securities & Governance Counsel
Key Responsibilities
- Prepare SEC filings, including Exchange Act reporting (Forms 10-K, 10-Q, 8-K), proxy statements, and Section 16 filings
- Advises on disclosure controls and procedures, earnings releases, investor presentations, and investor communications
- Serves as a key legal partner to Finance, Investor Relations, and Executive Leadership, ensuring compliance with U.S. securities laws and supporting capital markets activities
- Supports capital markets transactions, including equity offerings, debt financings, and other programs
- Advise on corporate governance matters, including Board and committee support, charter documents, and corporate policies
- Partners closely with Finance, Accounting, Investor Relations, HR, and external counsel to ensure accurate and timely disclosures
- Maintains awareness of developments in securities law, SEC rules, and governance best practices
- Monitors and advises on insider trading compliance, equity compensation matters, and Rule 10b5-1 plans
- Affords assistance with ESG disclosures and related governance initiatives, as applicable
Qualifications
- J.D. from an accredited law school; active bar membership in at least one U.S. jurisdiction
- 8+ years of relevant Corporate Securities experience, including public company securities work
- Experience at a leading law firm and/or in-house at a publicly traded company; life sciences or biotech experience strongly preferred
- Deep knowledge of U.S. securities laws, SEC reporting requirements, and corporate governance
- Experience supporting capital markets transactions and interacting with senior executives and boards
- Strong drafting, analytical, and communication skills
- Ability to manage multiple priorities with a high degree of accuracy and judgment
Pay Range
In the U.S., the hiring pay range for fully qualified candidates is $259, 200-$302,400 per year. The base pay actually offered will take into account internal equity and also may vary depending on the candidate's geographic region, job-related knowledge, skills, and experience among other factors.
