The Role
T1 Energy is looking to hire a Director, Securities and Corporate Counsel to join our growing legal team and support the company's capital markets, SEC reporting, and corporate governance activities.
This role will serve as the internal legal lead on securities law compliance and capital markets. Working closely with the Senior Vice President, Corporate Legal Counsel, you will support SEC reporting, financing transactions, and broader corporate legal matters across the organization.
This position is global in scope and will partner closely with finance, executive leadership, and external advisors to support T1's expansion strategy.
What You'll Do
- Lead SEC disclosure and reporting compliance, including 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
- Support capital markets and project financing transactions, including equity and debt offerings and related reporting obligations.
- Manage corporate governance matters for T1 Energy and its group companies, including Delaware corporate law matters.
- Lead legal execution of transactions from NDA through closing, including diligence coordination and document drafting.
- Engage and manage outside counsel across multiple jurisdictions to support transactions and regulatory matters.
- Partner with internal teams across finance, business operations, and executive leadership on corporate legal matters.
- Maintain clear and consistent communication on transaction progress and legal development across stakeholders.
- Serve as a trusted legal advisor to leadership on securities law, corporate governance, and capital markets.
Who You Are
- A strong securities and capital markets attorney comfortable operating in a public company environment.
- Highly detail-oriented with the ability to manage multiple complex matters simultaneously.
- Collaborative and effective working with internal stakeholders and external advisors.
- A clear communicator who can translate complex legal requirements into practical guidance.
- Comfortable operating across jurisdictions and working with global teams.
Qualifications
- Juris Doctor (JD), LLB (Honors), or equivalent legal degree (LLM a plus).
- Licensed to practice law in the State of New York.
- 3+ years of experience in securities law, capital markets, or corporate finance at a leading law firm.
- Strong experience advising domestic issuers on SEC reporting obligations and securities filings.
- Experience with capital markets transactions including equity and debt offerings.
- Familiarity with Delaware corporate law and public company governance requirements.
- Excellent drafting, negotiation, and legal analysis skills.
