Key Responsibilities
- Advises on public-company-style disclosure, governance, and regulatory matters as applied in a private equity–backed environment.
- Partners with the Corporate Treasurer on financing matters, including credit facilities, bond offerings, and commercial paper providing legal support on structure, documentation, and execution.
- Coincide and assist in planning and execution of meetings of the Board of Managers and its standing committees.
- Oversees entity management for domestic subsidiaries, including maintenance of corporate records, registrations, and governance documentation.
- Develops, implements, and maintains corporate governance policies and procedures to support a strong control environment.
- Provides practical, risk-calibrated legal advice to executive leadership and internal stakeholders on governance, financing, and commercial matters.
- Reviews, drafts, and negotiates a range of vendor and services contracts.
- Pairs with Procurement to enhance vendor risk management processes and improve contract lifecycle management systems.
- Collaborates cross-functionally with Finance, Procurement, IT, and other business units to support strategic initiatives and operational needs.
Required Qualifications
- 7+ years of prior experience in securities, capital markets, and/or corporate governance at a publicly traded company or a law firm, with familiarity supporting private equity–backed companies.
- Experience drafting and reviewing disclosure-related materials (e.g., proxy statements, earnings releases, Forms 10-K, 10-Q, and 8-K).
- Broad experience with commercial contracts, risk mitigation, and vendor agreements.
- Demonstrated ability to provide clear, practical legal advice and influence senior leadership.
- Strong business judgment and ability to operate independently in a fast-paced, lean legal environment.
- Excellent communication, interpersonal, and project management skills, with the ability to manage multiple priorities and meet critical deadlines.
- Ability to operate independently in a lean legal environment.
- J.D. from an accredited institution; strong academic credentials required.
- Active membership in good standing with at least one state bar.
- Business or finance coursework or experience preferred.
