About the role

This is a very exciting opportunity to join Verkada’s growing legal team as its first and lead Global Corporate Counsel. You will report directly to the General Counsel and work hand-in-hand with Verkada’s executive leadership as a trusted legal advisor on a wide variety of corporate legal issues across the company.

Responsibilities

  • Drive the legal roadmap for IPO and public company readiness.
    • Establish compliance frameworks, draft and manage future SEC reporting structures, and implement rigorous internal governance policies, including insider trading protocols.
  • Direct all corporate governance initiatives for Verkada and its international subsidiaries.
    • Oversee the preparation of materials, agendas, resolutions, and stockholder compliance structures for our Board of Directors.

    • Lead legal strategy and execution for all strategic corporate transactions while managing outside counsel to ensure seamless due diligence and post-acquisition integration.
  • Oversee the structuring and execution of complex corporate finance initiatives, including debt facilities, syndicated credit lines, private funding rounds, and capital allocation frameworks.
    • Partner closely with Verkada’s Finance, Stock Administration, and People teams to oversee equity compensation programs, capitalization table management, and secondary market transactions.
  • Monitor new and emerging developments in applicable worldwide regulations and laws that could impact Verkada’s corporate governance and structure.

Requirements

  • J.D. degree from an ABA-approved law school or equivalent
  • Member of at least one state Bar Association in good standing
  • 8+ years of dedicated corporate legal experience, combining both in-house and law firm experience (preferably with at least 4 years of in-house experience at a fast growing tech company)
  • Direct, hands-on experience taking a technology company through an IPO process and managing post-IPO public company compliance.
  • A proven track record of independently leading complex corporate transactions.
  • Strong collaborative capability with executive stakeholders, with a business-forward approach to navigating complex regulatory environments.
  • Experience building, leading, and managing a team of legal professionals.
  • Excellent legal and business judgment with the ability to provide practical, concise advice

Pay

Estimated Annual Pay Range $270,000—$370,000 USD
