Debt Finance Associate
About the role
Miller Johnson is seeking an associate to join our Corporate, Mergers & Acquisitions Practice Group in our Grand Rapids and Cincinnati offices. This is an excellent opportunity for an early-career attorney to build a sophisticated debt finance practice while working closely with experienced attorneys on a wide range of financing transactions. Our team advises businesses of all sizes on structuring, negotiating, and closing complex financing arrangements. Associates in this role will gain hands-on experience across a variety of deal types while developing strong technical and client-facing skills.
Responsibilities
- Assist in representing borrowers, lenders, and investors in a variety of financing transactions
- Support the structuring, negotiation, and documentation of debt and capital arrangements
- Draft and review loan agreements, security documents, and other transaction materials
- Conduct due diligence and assist with transaction closings
- Collaborate with attorneys across corporate, real estate, and tax practices on deal execution
- Participate in client communications and develop an understanding of business and financing objectives
- Support a range of transactions, including commercial lending, real estate financing, private placements, and acquisition financings
Qualifications
- J.D.
- 1–3 years of experience in finance, corporate, or related transactional practice preferred
- Strong academic credentials and demonstrated interest in transactional law
- Excellent drafting, analytical, and organizational skills
- Ability to manage multiple matters and deadlines in a fast-paced environment
- Strong attention to detail and problem-solving skills
- Effective communication skills and a client-service mindset
