About the role

Miller Johnson is seeking an associate to join our Corporate, Mergers & Acquisitions Practice Group in our Grand Rapids and Cincinnati offices. This is an excellent opportunity for an early-career attorney to build a sophisticated debt finance practice while working closely with experienced attorneys on a wide range of financing transactions. Our team advises businesses of all sizes on structuring, negotiating, and closing complex financing arrangements. Associates in this role will gain hands-on experience across a variety of deal types while developing strong technical and client-facing skills.

Responsibilities

  • Assist in representing borrowers, lenders, and investors in a variety of financing transactions
  • Support the structuring, negotiation, and documentation of debt and capital arrangements
  • Draft and review loan agreements, security documents, and other transaction materials
  • Conduct due diligence and assist with transaction closings
  • Collaborate with attorneys across corporate, real estate, and tax practices on deal execution
  • Participate in client communications and develop an understanding of business and financing objectives
  • Support a range of transactions, including commercial lending, real estate financing, private placements, and acquisition financings

Qualifications

  • J.D.
  • 1–3 years of experience in finance, corporate, or related transactional practice preferred
  • Strong academic credentials and demonstrated interest in transactional law
  • Excellent drafting, analytical, and organizational skills
  • Ability to manage multiple matters and deadlines in a fast-paced environment
  • Strong attention to detail and problem-solving skills
  • Effective communication skills and a client-service mindset
