Counsel/Senior Counsel - Securities and Transactions
About the role
We are seeking an experienced lawyer to advise on securities law matters and strategic transactions across a diverse portfolio of investments and business initiatives. You will partner directly with business leaders and legal teams on public company investments, mergers and acquisitions, venture capital investments, and other complex transactions that create long-term value.
Our Team
Our team supports mergers and acquisitions, investments, real estate, and other strategic transactions for Koch, Inc. and its subsidiaries, including Georgia-Pacific, Molex, and Infor. We also lead securities compliance and reporting and advise on corporate governance matters. With lawyers based across our major hubs and several satellite locations, the team handles hundreds of transactions each year.
What You Will Do
- Advise on securities law compliance, regulatory filings, internal training, and other matters relating to public company investments
- Partner with business teams on the strategy and execution of public company investments, from minority investments through take-private transactions
- Structure, negotiate, and execute mergers and acquisitions, venture capital and minority investments, joint ventures, and other strategic transactions in collaboration with in-house counsel, corporate development teams, and outside counsel
