Boise Cascade is looking to hire Counsel or Senior Counsel to join the Corporate Legal team, based on experience. This position will handle a wide range of legal and risk matters and advise on business decisions. The successful candidate will be based out of the corporate HQ in Boise, ID, working in-office at least four days per week. Occasional travel across North America may be required.
Responsibilities
- Draft, review, and negotiate a variety of agreements (e.g., vendor contracts, service agreements, NDAs, licensing) between Boise Cascade and its suppliers, customers, agents, employees, and other partners.
- Support corporate governance efforts, including board and shareholder matters, entity management, and corporate filings.
- Advise internal stakeholders on legal risks, obligations, and business strategies to ensure compliance with local, state, and federal regulations. Proactively assess business interruption, legal, and liability implications of business decisions.
- Lead investigations of allegations of improper behavior pursuant to the Company’s Code of Ethics.
- Assist in M&A transactions, including due diligence, transaction documents, and integration efforts. May lead individual areas of due diligence.
- Coordinate and manage outside counsel on specialized legal matters as needed. Partner with cross-functional teams (Finance, HR, Operations, Marketing) to support business objectives and mitigate risk.
- Represent the company in legal disputes where appropriate and oversee litigation handled by external counsel, including product liability, commercial disputes, employment law, and personal injury.
- Ensure protection of Boise Cascade’s intellectual property, including trademarks, patents, and trade secrets.
- Lead legal response to product recalls, contamination claims, or other crises, coordinating with regulatory bodies and external counsel as needed.
- Support the development and implementation of internal legal policies, training, and processes. Draft, review, and maintain internal legal policies and procedures to mitigate risk and ensure compliance.
- Monitor and ensure compliance with applicable laws and regulations across relevant jurisdictions.
- Serve on departmental and corporate committees and task forces.
Qualifications
- Graduate of ABA accredited law school.
- Member of a state Bar Association.
- Excellent verbal, written communication, and interpersonal skills.
- Strong business acumen with a practical, solution-oriented approach to legal issues.
- Ability to manage multiple priorities in a fast-paced environment.
- Extensive experience in contracts, risk management, and regulatory compliance with an understanding of financial implications of legal decisions.
- Requires sound professional skill and judgment, broad knowledge of company operations, policies, and procedures, and the ability to analyze legal, business, and practical issues.
- Considerable legal experience in a specialized area of the law, including commercial negotiations and transactions.
- 5+ years’ experience in a law firm or in-house setting.
- High level of ethical and professional conduct.
