About the role
The Counsel will provide strategic legal advice and representation on mergers, acquisitions, leveraged buyouts, majority and minority investments, spinouts, take-privates, and corporate governance matters. This is a senior-level role with direct client engagement, team leadership, and active participation in business development.
Key Responsibilities
- Advise corporate clients, financial sponsors, and investors on complex M&A and private equity transactions
- Draft, negotiate, and review securities purchase agreements, merger agreements, operating agreements, guarantees, and governance documents
- Analyze sophisticated governance and investment structuring issues, including hostile takeovers and shareholder activism defense
- Counsel on cross-border and sector-specific deals in healthcare, digital infrastructure, datacenter, and cryptocurrency industries
- Lead and supervise associates at all levels, ensuring high-quality client deliverables
- Contribute to marketing initiatives, client pitches, and recruitment processes
Who You Are
- JD from an accredited U.S. law school
- Minimum 9 years’ experience in M&A and/or private equity at a top-tier law firm
- Extensive experience in cross-border corporate transactions, capital markets work, and private equity investments
- Demonstrated expertise in healthcare, technology, life sciences, and telecommunications sectors
- Strong leadership, mentoring, and client relationship management skills
- Admitted to practice law in New York
Compensation & Benefits
Salary: $445,000 – $510,000 (DOE, New York market range)
