Responsibilities
- Lead the legal review, drafting and negotiation of all types of commercial agreements, including master services agreements, scopes of work, supply agreements, IP licenses, and CDAs, especially those related to strategic and high-profile customer collaborations.
- Work with FUJIFILM Biotechnologies’ patent counsel or agent on IP matters affecting commercial agreements.
- Identify and advise on associated commercial and quality issues arising out of commercial agreements, coordinating with subject matter experts as needed.
- Identify and manage legal and business risks, developing strategies and solutions to mitigate these risks.
- Provide briefings and legal advice to business colleagues and management on legal issues.
- Assist in maintaining and growing the bank of precedent legal documents for the business and provide training on their use.
- Ensure precedents are fit for purpose and applicable across the FUJIFILM Biotechnologies group.
- Assist with legal compliance issues and the rollout of compliance policies and training.
- Support the implementation of business processes, policies, and guidance; provide legal training and mentoring to the business.
- Offer ancillary legal support to business functions such as HR, EHS, and Capital Projects, managing expert assistance as needed.
- Collaborate with FUJIFILM Biotechnologies affiliates outside the US to support global objectives.
- Provide legal guidance to ensure compliance with Fujifilm-wide governance standards and adherence to legal processes and protocols.
Requirements
- College degree and juris doctorate from an accredited law school, with academic honors preferred.
- Admittance in good standing to at least one state bar.
- 5-8 years of relevant experience in-house, or a combination of in-house and law firm experience, preferably for CDMO/Life Sciences companies.
- A solid commercial contract background with extensive drafting and negotiating experience.
- Knowledge of legal practices, including regulations affecting Life Sciences/Pharma companies (e.g., drug approval regulations) is a plus.
Salary and Benefits
$135,000 to $183,000 depending on experience.
