About the role

This role involves leading live meetings for subsidiary companies, managing regulatory and annual filing responsibilities, providing legal research and advisory support, and supporting special projects.

Responsibilities

  • Lead live meetings for subsidiary companies, including planning, preparation of governance materials, coordination with internal stakeholders, and management of follow-up items
  • Advise on subsidiary governance requirements, annual corporate maintenance, and other entity-level legal obligations
  • Handle day-to-day governance matters for assigned entities, including routine requests, governance documentation, and related legal support
  • Manage recurring annual and enterprise-wide filing responsibilities (e.g., Schedule Y, Part 1A, Form B, Corporate Governance Annual Disclosure) and other related filings or governance submissions
  • Support and coordinate insurance company and non-insurance affiliate governance activities as needed
  • Provide legal research and analysis in support of corporate governance, insurance regulatory, and legal entity management matters
  • Provide legal support on special projects, process improvements, and cross-functional initiatives affecting governance, entity management, or regulatory compliance

Requirements

Seeking an associate with the desire and ability to grow into the role and take on more responsibilities as they continue to develop.

Qualifications

  • JD from an American Bar Association-accredited law school
  • Full license in accordance with OCLO policy, in good standing and in compliance with all continuing legal education requirements at all times in the state(s) in which they practice

Skills

  • Proven experience with or knowledge of an area of law, complex legal practices and procedures
  • Sound business knowledge
  • Strong verbal and written communication skills
  • Skilled at interpreting statutes, regulations, insurance policies and other contracts
  • Decision-making ability to set work priorities and make recommendations
  • Ability to initiate, prioritize and coordinate complex projects and/or cases that cross functional or business lines
