Counsel - Commercial Lending & Workout

About the role

The US Commercial Lending & Workout Legal team at TD supports the US Commercial Bank and Commercial Workout, enabling their business strategies while managing legal risks. This role provides consistent and sound legal advice, negotiates commercial financing contracts, manages loan workouts, and applies legal knowledge to the business.

Responsibilities

• Develops and interprets legal knowledge and skills, identifying legal issues and formulating relevant legal theories.
• Manages and assists with commercial loan workouts, including subsidiary and entity-level corporate governance.
• Works with senior leadership, credit management, and workout officers to provide legal support in areas like policy and procedure reviews, issue remediation, and contract negotiation.
• Identifies and addresses conflicts between business units and TD's risk appetite, discussing potential inconsistencies with clients.
• Contributes to and leads negotiations and conflict resolutions, gathering necessary information and displaying effective negotiation skills.

Requirements

• Bachelor’s degree required.
• JD from an accredited law school required.
• 5+ years of related experience.
• Admission to an appropriate State Bar in good standing and licensed to practice law in the State.
• Basic understanding of banking/financial services operations and issues.
• Ability to simplify, problem solve, multitask, and work effectively against deadlines.
• Integrity and high moral standards.
• Strong negotiation and conflict resolution skills.
• Strong legal research and analysis skills.
• Detail-oriented.
• Must be able to apply legal knowledge to the business.

Qualifications

• Commercial lending transactional experience in a law firm or in-house environment.
• Deep experience negotiating commercial financing contracts.
• Experience managing or assisting with commercial loan workouts.
• Working knowledge of laws, rules, and regulations applicable to commercial and small business lending.
• Experience working in a regulatory environment.
• Experience with auto finance transactions and processes is a plus.

Must be able to apply legal knowledge to the business, simplify, problem solve, multitask, and work effectively against deadlines. Must have excellent oral and written communication skills, strong teamwork and client skills, and be highly motivated. May supervise administrative and paralegal staff and junior attorneys.
