Corporate Paralegal - International & Litigation
About the role
Latitude is assisting a global SaaS company in its search for a part-time to full-time experienced Corporate Paralegal to provide support across international corporate matters and U.S. litigation. The ideal candidate will have hands-on experience with international entity formation and subsidiary management, strong organizational and project management skills, and the ability to independently coordinate matters across multiple jurisdictions and with outside counsel. The role will initially be structured as a temporary engagement, with the potential to convert to a permanent position for the right candidate based on business needs.
Responsibilities
- Manage and support international corporate formations, registrations, qualifications, dissolutions, and other entity-related matters across multiple jurisdictions.
- Coordinate with international outside counsel, registered agents, corporate service providers, and internal stakeholders regarding entity formation and ongoing compliance requirements.
- Maintain corporate records for domestic and international subsidiaries, including organizational documents, board and shareholder resolutions and consents, officer and director records, powers of attorney, and other governance documentation.
- Manage annual filings, corporate registrations, good-standing requirements, director and officer changes, and other ongoing entity compliance obligations.
- Assist with international corporate restructurings, subsidiary changes, intercompany matters, due diligence, and other corporate projects.
- Maintain entity-management systems, corporate organizational charts, calendars, and tracking tools to ensure timely completion of corporate filings and governance requirements.
- Support U.S. litigation and dispute matters by coordinating with in-house attorneys and outside counsel, managing matter files and key deadlines, facilitating document collection and discovery, assisting with litigation holds and preservation efforts, and coordinating responses to subpoenas and other legal requests.
- Work cross-functionally with Legal, Finance, Tax, HR, Compliance, and other business teams on corporate and litigation matters.
- Assist attorneys with special projects and other corporate, governance, and litigation-related matters as needed.
Qualifications
- 5+ years of corporate paralegal experience, preferably within an in-house legal department, global technology company, or sophisticated corporate law practice.
- Demonstrated experience with international entity formation, subsidiary management, and corporate governance across multiple jurisdictions.
- Strong understanding of corporate records, governance documentation, annual compliance requirements, and entity-management processes.
- Experience coordinating directly with international outside counsel and corporate service providers.
- Experience supporting U.S. commercial litigation, including discovery, document production, case management, litigation deadlines, and court filings.
- Experience working with a global SaaS, technology, or multinational company strongly preferred.
- Excellent organizational and project-management skills with the ability to manage numerous entities, jurisdictions, deadlines, and matters simultaneously.
- Strong attention to detail and ability to work independently with limited supervision in a fast-paced environment.
- Excellent written and verbal communication skills and ability to collaborate effectively with internal business teams and external counsel.
- Proficiency with corporate entity-management systems, document-management platforms, and Microsoft Office or comparable tools.
- Bachelor's degree and/or paralegal certificate preferred.
- Atlanta-area candidates are a plus, although the position is fully remote.

Pay
The annualized pay for engagement position on a full-time basis ranges from $65,000 to $100,000+ when calculated on a full-time basis. Pay for contract roles is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate's preference (each candidate's pay rate affects the client bill rate which can affect the candidate's competitiveness for the position).

Latitude contract professionals are usually W2 employees of Latitude and are eligible for full benefits when working in roles for 20 hours per week. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
