Corporate Paralegal - Chicago, IL
Responsibilities
- Form and structure entities across jurisdictions
- Draft operating agreements, bylaws, shareholder agreements, and consents
- Handle UCC filings, out-of-state registrations, and corporate filings
- Maintain corporate records, minutes, and minute books
- Support M&A, conversions, reorganizations, and dissolutions
- Prepare EDGAR filings and assist with SEC, NFA, and Blue Sky compliance
- Cook up filings for investment advisors and broker-dealers
- Aid with due diligence and transaction workflows
Qualifications
- 5+ years of corporate paralegal experience (law firm preferred)
- Strong background in corporate governance, filings, and compliance
- Experience with public company filings (EDGAR/SEC) is highly valued
- Highest level of detail-oriented with strong organizational skills
- Excellent written and verbal communication
- Ability to manage multiple priorities in a fast-paced environment
- Bachelor’s degree or Paralegal Certificate required
Pay
The salary range at the time of posting is $90,000 - $130,000 annually, based upon a full-time work schedule. Actual compensation will be influenced by various factors, including but not limited to employee qualifications, relevant experience, skill sets, training, internal equity, and market data.
Schedule
This position is eligible for an annual discretionary bonus.
