About the role
A growing Dallas law firm is seeking an experienced Corporate M&A Legal Assistant to join its corporate practice group. This position will primarily support attorneys handling M&A and complex corporate transactions, with additional support provided to the corporate finance team as needed.
Responsibilities
- Support attorneys with M&A and corporate transactions from inception through closing
- Coordinate and assist with transactional closings
- Prepare and organize closing documents, signature packets, and closing binders
- Send and track documents for electronic signature through DocuSign
- Maintain deal checklists and track transaction status, deadlines, and deliverables
- Coordinate Secretary of State searches and filings
- Order corporate certificates and other organizational documents
- Manage attorney calendars and critical transaction deadlines
- Schedule meetings and coordinate transaction-related communications
- Assist with client correspondence
- Provide support on corporate finance transactions as needed
- Maintain organized electronic files and transaction documentation
- Provide additional administrative and legal support to attorneys within the corporate group
Qualifications
- 3-5 years of corporate transactional legal assistant experience preferred
- Corporate M&A experience required
- Corporate finance experience is a strong plus
- Strong understanding of corporate transactions, closings, and related deadlines
- Experience preparing closing documents, signature packets, and closing binders
- Experience with DocuSign and document management systems such as iManage
- Advanced proficiency with Microsoft Office and Adobe
- Excellent organizational skills and attention to detail
- Strong written and verbal communication skills
- Ability to manage multiple transactions and competing deadlines
- Proactive, team-oriented attitude and willingness to assist others
- Ability to work effectively with attorneys and staff at all levels
