About the role

These opportunities are focused on corporate transactions, M&A, emerging companies, venture-backed clients, general corporate advisory work, and partner-level corporate business development. Candidates must have corporate transactional experience, be comfortable drafting and negotiating deal documents, and have experience advising companies, investors, founders, or strategic clients. For senior or partner roles, candidates must have client ownership or a portable business.

Responsibilities

  • Independently run venture financings, priced rounds, SAFEs, convertible notes, formations, equity issuances, corporate governance, startup employment/IP issues, and founder/investor counseling (Senior Counsel - Emerging Companies)
  • Independently manage transactions end-to-end; middle-market M&A including PE buyouts, strategic acquisitions, growth investments, sell-side representations; diligence, drafting and negotiating definitive agreements (Mid Level Corporate/M&A Associate)
  • Portable book at least $1.5M; middle-market M&A; buy-side and sell-side transactions; private equity sponsors and portfolio companies; corporate governance and strategic advisory; working attorney collections ideally ~$1M+; associate/deal team supervision; cross-office collaboration (Corporate/M&A Partner)
  • Experienced corporate transactions partner or senior counsel with portable book ideally $750K+; originate and manage M&A, private equity, fund formation, capital markets and cross-practice corporate matters on an entrepreneurial remote platform (Corporate Transactions Partner)

Requirements

Candidates must have an active US Bar, with CA preferred for some roles. For senior or partner roles, candidates must have client ownership or a portable business.

Qualifications

Current Openings:

  • Senior Counsel - Emerging Companies: 4-8 years ECVC experience at a top firm; compensation: $200K-$230K + 15% bonus + equity; work model: Remote
  • Mid Level Corporate/M&A Associate: 6-8 years post-JD corporate or M&A associate experience at an AmLaw firm, strong midsize firm, or reputable boutique; compensation: $240K-$290K base, flexible upward + bonus; work model: Hybrid
  • Corporate/M&A Partner: 15+ years corporate transactional experience; portable book at least $1.5M; middle-market M&A; buy-side and sell-side transactions; private equity sponsors and portfolio companies; corporate governance and strategic advisory; working attorney collections ideally ~$1M+; associate/deal team supervision; cross-office collaboration; compensation: Competitive / partner compensation; work model: On-Site
  • Corporate Transactions Partner: Experienced corporate transactions partner or senior counsel with portable book ideally $750K+; originate and manage M&A, private equity, fund formation, capital markets and cross-practice corporate matters on an entrepreneurial remote platform; compensation: Book-dependent / partner economics; work model: Remote
