About the role

Latitude has a corporate client looking to add someone like you to their in-house legal team. Applicants must have extensive experience supporting public companies with corporate governance and securities matters. Prior experience working in-house at a major corporation is required. This is a great opportunity for someone to have responsibility for the corporate governance of a fast-growing company.

Responsibilities

  • Prepare and file certificates of formation, by-laws, and operating agreements for legal entities and oversee corporate subsidiary management
  • Prepare corporate governance documents and materials related to Board of Directors and Board Committees
  • Review, research, and manage the Company’s Section 16 filings, 10-Ks, 10-Qs, 8-Ks, proxy statements and registration statements
  • Support administration of Company’s equity plans and grants
  • Maintain and file corporate records, including resolutions, minutes, Board of Director changes, D&O questionnaires, etc.
  • Aid with mergers and acquisition (“M&A”) activities including but not limited to organizing and maintaining M&A documentation
  • Collaborate with outside counsel, various internal business groups and key vendors for the legal department

Requirements

  • 10+ years of corporate paralegal experience
  • Working knowledge of NYSE and/or Nasdaq requirements
  • Bachelor’s degree and/or paralegal certificate preferred
  • Prior successful experience working in the legal department of a public company is required
  • Ability to work in a fast-paced environment
  • Proficiency with one or more of the following platforms: Entity management systems such as Cogency, Board portals such as Diligent, EDGAR Next, and SEC filing software such as Wdesk

Pay and Benefits

  • Pay: The salary range for this role is $180,000 to $210,000, and is eligible for bonuses.
