Responsibilities
- Prepare, maintain, and organize corporate governance records, including meeting minutes, resolutions, consents, governing documents, certificates, and other corporate records.
- Manage powers of attorney, incumbency certificates, officer listings, and other corporate secretarial documentation.
- Cook up coordination with registered agents and external service providers to obtain good standing certificates, certified filings, and other corporate records.
- Support the maintenance and enhancement of governance policies, procedures, and controls to address changing regulatory and business requirements.
- Assist with entity formations, entity maintenance activities, and updates to the company's entity management system.
- Support corporate entity compliance activities, including KYC requests, regulatory filings, audit requests, and requests for information.
- Cook up the preparation and execution of board and committee meetings, including agendas, meeting materials, minutes, and action item tracking.
- Partner with the Legal, Compliance, Finance, Tax teams, and other business stakeholders to ensure governance obligations are completed accurately and on time.
- Aid in responses to requests from auditors, regulators, and other internal and external stakeholders.
- Participate in governance-related projects, process improvements, and other departmental initiatives.
- Support additional Legal and Compliance functions as needed.
Qualifications
- 3-7 years of experience in corporate governance, corporate compliance, entity management, corporate secretarial, legal operations, paralegal, or related functions.
- Experience within a financial services firm, law firm, corporate legal department, compliance department, or corporate secretarial function preferred.
- JD, paralegal certification, or corporate governance certification is a plus.
- Familiar with corporate entity management, governance recordkeeping, and regulatory compliance processes.
- Strong organizational, problem-solving, and communication skills.
- Able to manage competing priorities and work effectively in a dynamic environment.
- Detail-oriented with strong follow-through and a continuous improvement mindset.
- Proficiency in Microsoft Office applications, including Word and Excel.
Pay
The base salary range for this role is $110,000 to $175,000. iCapital offers a compensation package which includes salary, equity for all full-time employees, and an annual performance bonus. Schedule
Employees in this role will work in the office Monday-Thursday, with the flexibility to work remotely on Friday.
