About the work
Mercor is building a high-quality library of in-house corporate development work products. You will complete self-contained M&A exercises from mock files—including CIMs, diligence reports, term sheets, and board decks—and produce the deliverable for each, graded against a rubric.
Responsibilities
- Build valuation and merger models: three-statement, DCF, trading and transaction comparables, accretion-dilution, cap table, and equity waterfall.
- Draft and compare transaction terms: IOIs, LOIs, term sheets, bid comparisons, deal structure, and consideration economics.
- Produce process and board materials: management presentations, data packs, buyer universes, board and committee decks, closing mechanics, and funds flow.
- Run screening, diligence, and integration work: inbound deal screens, diligence request lists, findings synthesis, synergy models, carve-out analysis, and 100-day plans.
Requirements
- 4+ years in an in-house corporate development or M&A role at an operating company.
- Hands-on ownership of live transactions end to end, not support work.
- In-house operators only; sell-side or advisory practitioners are not a fit.
Nice to have
- Investment banking or private equity experience before moving in-house.
- Big 4 transaction advisory or financial due diligence background.
