Corporate Counsel - Commercial

Major Responsibilities

• Engage and build relationships with the business to act as "front-line" legal counsel and provide high-quality, pragmatic legal and business advice regarding a wide range of commercial issues.
• Draft and negotiate a variety of commercial agreements, including sales, purchasing, licensing and service agreements.
• Assess proposed commercial transactions and develop deal structures to minimize legal and business risks.
• Think strategically, help create and execute plans to achieve both short-term and long-term results and communicate effectively with key legal and business stakeholders.
• Develop and implement continuous improvement processes, templates, and training to support the work of the role.
• Support the implementation of the Company's contract lifecycle management solution.

Minimum Job Requirements

• Education: Juris Doctor degree from an accredited law school.
• Certification / License: Licensed to practice law in the United States and a member in good standing with a state bar.
• Work Experience: Minimum of 3 years of commercial law experience with a major law firm or corporate legal department.
• Knowledge / Skills / Abilities: Excellent negotiation and legal drafting skills, excellent communication skills, high work capacity and passion for the job, high ethical and moral standards, demonstrated ability to identify risk, problem-solve, and offer creative solutions to mitigate risk, ability to manage and prioritize work from multiple stakeholders, ability to work across organizational, functional and geographic boundaries to drive business strategies, communications and multi-geography projects and teams in a matrixed environment.

Preferred Job Requirements

• Work Experience: Analyzing data privacy issues within the context of commercial agreements, working for a global manufacturer or publicly-traded company, working on international teams in a matrixed environment.
