Role DescriptionReporting to the Chief Legal Officer, the Commercial Counsel supports the Legal Department by structuring, drafting, and negotiating the commercial agreements that power CoAd's go-to-market motion. This role provides practical, business-oriented legal guidance to Sales, Marketing, and Customer Experience teams, helping them move quickly and confidently while protecting the company. Core ResponsibilitiesStructure, draft, negotiate, and review commercial contracts, with a primary focus on agreements for the delivery of PEO, payroll, and other HR services to customers through CoAd's tech-enabled platform.Support Sales, Marketing, and Customer Experience teams on customer contracting, including managing a high volume of customer agreements and supporting RFP submissions.Develop, update, and maintain standard form agreements, templates, and negotiation playbooks, ensuring alignment with internal policy and applicable law.Provide practical, actionable legal advice and recommendations to management on commercial and contractual matters.Provide training to internal teams on contracting fundamentals and other legal topics relevant to the business.Assist with the development of corporate policies, systems, and procedures that streamline and support the contracting process.Collaborate with and manage outside counsel on matters as needed.Perform other duties as assigned. Required Skills & ExperienceJuris Doctor (JD) degree and active license to practice law in good standing.Minimum of 5 years of experience drafting and negotiating commercial and technology-related agreements.Minimum of 3 years of experience working in-house.Experience supporting enterprise sales, marketing, and customer experience teams, including managing a high volume of customer contracts and supporting RFP submissions.Strong transactional background, with the ability to independently draft, negotiate, and manage a wide range of agreements.Practical, business-oriented approach to problem-solving, with the ability to provide clear, concise, and creative legal advice on timelines that meet business needs.Ability to operate autonomously while collaborating effectively with Legal, Compliance, and internal business partners.Ability to thrive in a fast-changing environment and work quickly under time-sensitive deadlines.High integrity and strong commitment to ethics.Strong attention to detail.Familiarity with AI-enabled service, digital self-service, intelligent routing, knowledge tools, and automation.Location and Travel: This role is remote but requires residence in either Eastern or Central Time Zones. Occasional travel may be required for meetings or special events.Preferred ExperienceExperience in a PEO, EOR, ASO, payroll provider, HCM platform, HR outsourcing, or benefits administration organization.Experience supporting companies with health insurance, benefits, and ERISA related agreementsExperience integrating teams, processes, or systems following a merger, acquisition, or major organizational transformation.Experience in a growth-stage, PE-backed, or operationally complex organization.
