Corporate Attorney – Investment Funds (Remote Contract Engagement)

About the Role

Latitude is seeking an experienced Investment Funds Attorney to assist one of its global law firm clients with an internal project. This is a flexible, multi-month contract engagement and candidates may work anywhere in the United States.

Requirements

• 5+ years of experience working on Investment Funds matters at a large or mid-sized law firm
• Experience advising on the formation, structuring, and ongoing operation of private investment funds, including private equity, venture capital, hedge funds, real estate funds, and other pooled investment vehicles
• Experience drafting and negotiating fund governing documents, including limited partnership agreements, subscription agreements, side letters, private placement memoranda, and investment management agreements
• Experience counseling clients on the Investment Advisers Act, securities law, and other regulatory obligations applicable to fund managers and advisers
• Licensed and in good standing in state of residence
• Strong attention to detail
• Outstanding references

Qualifications

• Extensive experience advising on the formation, structuring, and operation of private investment funds
• Strong understanding of the regulatory landscape governing investment advisers and fund managers
• Prior experience working in the corporate department of a national or regional law firm is strongly preferred

Pay

The annualized pay for this contract position ranges from $200,000 to $220,000 or more when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate's preference (each candidate's pay rate affects the client bill rate which can affect the candidate's competitiveness for the position).
