Responsibilities

  • Lead mergers and acquisitions and other multifaceted corporate matters from initial planning through closing and follow-up activities.
  • Prepare, review, and negotiate principal transaction agreements and supporting documents with careful attention to legal and business risk.
  • Provide guidance on privacy, data protection, and related regulatory issues that may affect transactional strategy and execution.
  • Advise closely held companies and business owners on entity governance, ownership matters, and broader corporate legal concerns.
  • Direct due diligence efforts, evaluate transaction structures, and coordinate all steps required to complete deals efficiently.
  • Oversee and mentor entry-level attorneys and legal support staff while maintaining high-quality work across active matters.
  • Serve as a primary point of contact for clients, outside counsel, and other transaction participants, offering clear and commercially sound recommendations.

Requirements

  • At least 7 years of experience handling corporate transactions within a law firm or a sophisticated in-house legal environment.
  • Proven background in mergers and acquisitions, including buy-side, sell-side, or both types of transactions.
  • Demonstrated success managing complex deals independently and leading legal teams through demanding matters.
  • Strong drafting, negotiation, analytical, and verbal communication skills with an emphasis on practical legal counsel.
  • Ability to manage matters from transaction structuring through closing and post-closing with limited oversight.

Qualifications

  • Active admission to the New York Bar in good standing; additional bar admissions are advantageous.
  • Strong academic credentials, with highly regarded legal training preferred.

Skills

  • Strong drafting, negotiation, analytical, and verbal communication skills.
  • Experience with complex deal structuring and execution.
  • Knowledge of corporate governance and compliance regulations.
  • Ability to manage multiple projects simultaneously.
  • Excellent interpersonal and client relationship management skills.
