About the Firm

Platt Richmond PLLC is a full-service business law firm that offers a collaborative environment to work and grow professionally. We help entrepreneurs navigate legal complexities and honor our commitments to our clients and to each other. With a strong foundation of business acumen, we are committed to producing practical, business-oriented legal solutions. As a 25+ attorney firm, we recognize and appreciate the value of hard work, but we also like to have fun. Our culture is important to us: we respect personal time, genuinely like each other, and stick to our values. We are relentless problem solvers who strive for excellence, believe in honesty and respectful candor, and are relationship-centered at our core.

About the Role

Platt Richmond is seeking an associate attorney to join our robust and growing transactional practice. This individual will assist partners in all facets of corporate transactions, including mergers and acquisitions, corporate finance, private placement of securities, entity formation, investment funds, and corporate governance.

  • Manage multiple projects and assist in all facets of our transactional practice
  • Take real ownership of your work instead of just supporting a small piece of it
  • Receive dedicated and insightful mentorship from seasoned big law attorneys
  • Get experience working on sophisticated middle-market transactions

Responsibilities

  • Assist partners on a broad range of mergers, acquisitions, and other business transactions and corporate matters, as well as debt finance, fund formation, and securities matters, depending on experience
  • Prepare and/or negotiate a wide range of transaction documents, corporate governance instruments, commercial agreements, and other legal documents
  • Conduct or oversee legal due diligence and negotiation
  • Manage and delegate appropriate tasks to paralegals

Requirements

  • 1-2 years of relevant corporate experience
  • Strong understanding of corporate law and contract law, and/or understanding of securities law, finance law, or regulatory compliance
  • Strong attention to detail
  • Intellectual curiosity and genuine interest in projects, rather than a “finish the task and forget about it” approach
  • Excellent communication and grammatical skills, both verbal and written
  • Genuine, authentic personality
  • Team player; takes direction well; receptive to constructive feedback
  • Proficiency with Microsoft Word and Outlook
  • J.D. and Texas Bar Admittance

Ideal Candidate

This role is ideal for someone who:

  • Values high-quality work but doesn’t want the big law lifestyle
  • Enjoys working directly with clients and being part of a great team
  • Is looking for high-quality corporate experience, meaningful responsibility, and the ability to make an impact
  • Is driven, detail-oriented, and enjoys taking on responsibilities
  • Has solid experience supporting varied corporate transactions in a private company environment
  • Can operate independently but knows when to ask questions

Benefits

  • Comprehensive health, vision, and dental insurance
  • 401(k) retirement plan
  • Paid vacation and holidays
  • Parking
  • Highly flexible work-from-home policy
  • Collegial atmosphere of hard-working but fun-loving partners, associates, and staff
  • True work-life balance with a 1700 billable hour requirement
  • Dedicated paralegals and support staff
  • Support and mentoring for business development initiatives
  • Origination credit on matters brought to the firm by the associate
  • Straightforward partner track
  • Competitive salaries with opportunities for discretionary bonus, formulaic bonus, and paid origination credit
