About the role

A top-tier AM Law 100 firm is seeking a Corporate Associate to join its nationally recognized Public Companies and Capital Markets practice. The successful candidate will advise high-growth public companies and underwriters on complex regulatory and transactional matters, including IPOs and equity/debt offerings.

Requirements

• 4–6 years of experience in public company and capital markets law.
• Strong background advising public companies on SEC compliance, disclosure, and governance matters.
• Familiarity with Nasdaq/NYSE listing standards and ongoing reporting obligations.
• Experience representing issuers or investment banks in capital markets transactions, including IPOs, PIPEs, and ATM offerings.
• Industry experience with technology and/or life sciences clients is a plus.
• Strong academic credentials and a collaborative approach to practice.

• Represent public companies and financial institutions in capital markets transactions.
• Provide legal guidance on corporate communications and investor relations.
• Support innovative technology and life sciences clients through all stages of growth.
