About the role
This is an outstanding opportunity for an attorney who enjoys working directly with founders, startups, investors, and high-growth technology companies from formation through exit. The successful candidate will serve as a trusted advisor to innovative companies at every stage of their lifecycle, handling sophisticated venture financings, corporate governance matters, securities compliance, M&A transactions, and day-to-day outside general counsel work.
Responsibilities
- Advising founders, startups, and emerging growth companies on entity formation, governance, and corporate structuring.
- Representing companies and investors in venture capital financings, including SAFEs, convertible notes, seed rounds, and Series A+ transactions.
- Drafting and negotiating key transaction documents, including term sheets, financing agreements, shareholder agreements, and commercial contracts.
- Counseling clients on securities law compliance, Regulation D offerings, Blue Sky filings, and related regulatory matters.
- Serving as outside general counsel to startup clients, providing practical day-to-day legal guidance on corporate, equity compensation, and business matters.
Requirements
- J.D. from an accredited law school.
- Active membership in the Washington State Bar and good standing.
- Strong experience advising venture-backed startups, emerging growth companies, or venture capital investors.
- Excellent drafting, negotiation, and client counseling skills.
- Ability to manage multiple transactions and client relationships simultaneously.
Preferred Experience
- Deep familiarity with NVCA financing documents.
- Experience with Y Combinator SAFE documentation.
- Working knowledge of Carta and cap table management platforms.
- Understanding of securities laws, including the Securities Act of 1933, Securities Exchange Act of 1934, Rule 701, and Regulation D.
- Experience serving as outside general counsel to startup and technology clients.
